Sale of a Small Business

On a sale of a small business (sale price of less than $200,000.00), we will cap our fees at $1,500.00 plus disbursements & GST.   This price includes all disbursements.

Purchase of a Small Business

On a purchase of a small business (purchase price of less than $200,000.00), we will cap our fees at $1,850.00 plus GST & disbursements.* 

Quality & Service

Notwithstanding these low prices, we will provide you with all the legal services usually accorded to larger transactions. In particular, we will do the following on a purchase:

• One of our experienced business lawyers will meet with you to go over your proposed purchase.
• Prepare or review the offer to purchase.

• If purchasing a franchise, we will review all documents that are usually provided to a prospective purchaser of a franchise, advise you as to your obligations under these documents, and implement minor changes that may be necessary.   The documents that we will review include:
  • Franchise agreement
  • Lease and/or sublease agreement
  • General security agreement
  • Indemnification or personal guarantee agreement
  • Offer to purchase
  • All other documents provided as part of the disclosure package
• Conduct all relevant searches including:
  • Corporate status search
  • Business name search
  • PPSA report
  • Bankruptcy search
  • Litigation search
  • PST search or clearance (if required)
  • GST search or clearance (if required)
  • Source deductions search
  • Health & safety compliance search
• Review the lease for the business premises
• Negotiate with the landlord
• Prepare all necessary documents for the assignment of the lease agreement
• Prepare all closing documents to effectively transfer the ownership of the business
• Handle the transfer of the closing funds through our trust accounts
